Survey on the Conduct of Virtual General Meeting

The Covid-19 pandemic and the ensuing enforcement of a Movement Control Order followed by a Conditional Movement Control Order (CMCO) have changed the ordinary course of life and business. For businesses, it has also affected engagements between the company and its shareholders, which includes the conduct of general meetings.

The Securities Commission Malaysia (SC) issued the Guidance and FAQs on the Conduct of General Meetings for Listed Issuers (Guidance Note) to guide all issuers listed on Bursa Malaysia Securities Berhad on the conduct of general meetings, including Annual General Meeting, Extraordinary General Meeting and Meeting of Unit Holders during a period when the CMCO is in place or outside of the CMCO period; but where safe distancing requirements remain (e.g. restriction on mass gatherings). This includes the conduct of fully virtual general meetings and hybrid general meetings.

The SC will continue to monitor the conduct of fully virtual general meetings, and will do the needful to ensure the proper conduct of such meetings and that shareholders are able to participate effectively. As such the SC would like to request for information and feedback on the conduct of fully virtual general meetings thus far.

Confidentiality: Responses to this survey will be analysed, and observations from the analysis may be made public by the SC, however the name of individual respondents will not be made public.
