Print version of SC fund-raising guidelines available from 13 October

The print version of the Securities Commission (SC) fund-raising guidelines will be available from 13 October 2003. These guidelines may be purchased from:

The SC had in April 2003 released the electronic versions of the revised fund-raising guidelines in line with the shift to the final phase of disclosure-based regulation.


Some of the guidelines have been updated to include new requirements as well as to provide further clarity to existing requirements. They have also been enhanced in terms of layout and structure.


An outline of the main changes/ enhancements in the respective guidelines is provided in Table 1.

Policies and Guidelines on Issue/Offer of Securities

  • Updates in the schedule of fees and charges payable for corporate proposals.
  • Inclusion of Guidance Note 6A on Criteria for Relisting of Delisted PN4 Companies, which was released earlier via press release dated 18 June 2003.

  • Guidance Notes 7A & 7B issued pursuant to Chapter 7 (Special Requirements for the Listing of Specific Companies) of the Policies and Guidelines on Issue/Offer of Securities (Date issued: 19 September 2003)
  • Guidance Note 12A issued pursuant to Chapter 12 (Significant Changes in Business Direction) of the Policies and Guidelines on Issue/Offer of Securities (Date issued: 2 October 2003)
Guidelines on the Offering of Private Debt Securities No material change. Only enhanced layout and structure.
Guidelines on the Offering of Asset-Backed Debt Securities No material change. Only enhanced layout and structure.
Guidelines on Asset Valuations

Enhancements to the existing Guidance Note 2 on Forest Assessment Report. Guidance Note 2 now clarifies on the following:



  • The resolution of the satellite imagery that is to be included in Forest Assessment Report in the case of a valuation of a timber concession or forest plantation;
  • The information to be incorporated in the satellite imagery.
Guidelines on Unit Trust Funds

  • Updates to Chapter 14 on cooling-off right, unit split exercise and publication of prices.
  • Updates to Schedule B on submission requirements to the SC.
  • Updates to Schedule C on investment limits for fixed income funds.
  • Updates to prospectus disclosure requirement on material litigation and arbitration that might materially affect the business/financial position of the management company or any of its delegates.
  • General enhancements in terms or layout and structure.
Guidelines for the Issue of Call Warrants No material change. Only enhanced layout and structure.
Prospectus Guidelines

The removal of the requirement for a letter of confirmation from both the adviser and the Board of Directors of the corporation in respect of the translation of the prospectus, from:·



  • Guidelines on Public Offerings-[previously Chapter 26 paragraph 3(p)]; and
  • Guidelines on Supplementary Prospectus[previously Chapter 3 paragraph 3(n)].
