Venture Capital and Private Equity Registration
Introduction
Under the Capital Markets and Services Act 2007 (CMSA), any person carrying on a business in any regulated activity must be appropriately licensed or registered by the SC. Corporations undertaking venture capital or private equity activity are registered persons under schedule 4 of the CMSA.

To qualify as registered persons, venture capital corporations (VCC), venture capital management corporations (VCMC), private equity corporations (PEC) and private equity management corporations (PEMC) as specified in paragraph 2.01 of the Guidelines on the Registration of Venture Capital and Private Equity Corporations and Management Corporations (Guidelines), must apply to be registered with the SC and comply with the provisions of these Guidelines.

How to Register
Applicants are required to submit the applicable forms, the relevant information and all required documents in both hard and soft copy versions. The soft copy version, to be provided in a USB flash drive, should contain electronic files in their native (original) format.
Post-registration
Access and submissions to ComRep

Periodic reports must be submitted through the Common Reporting (ComRep) portal. For this purpose, a new registered corporation must request access to the ComRep portal via e-mail to [email protected].

A Super Admin account will be provided, which will allow creation of new users for designated roles and access to the ComRep portal i.e. makers, approvers, viewers.

Material changes and notifications to SC

The SC must be notified in writing within 14 calendar days on any material change. Some notifications, such as changes to responsible persons, must be accompanied by the relevant forms and supporting documents. Please refer to the Guidelines and FAQs to learn more.
