SIDC-MAICSA Organises Seminar to Educate Directors on Roles and Duties

The Securities Industry Development Centre (SIDC) of the Securities Commission (SC) and the Malaysian Association of the Institute of Chartered Secretaries and Administrators (MAICSA) are jointly-organising a half-day Seminar on Roles and Duties of Directors at the SC on 18 May 1999.

The primary objective of the seminar is to educate directors, and other corporate participants such as company secretaries, on their general duties, rights and liabilities within an environment that is evolving towards disclosure based regulation and higher standards of corporate governance.

The seminar offers an ideal opportunity for directors of public-listed companies, directors of prospective listed companies and company secretaries to enhance their understanding of responsibilities and legal duties that are currently imposed upon them as well as expected of them in the future. Such information and insight will be beneficial considering the changing regulatory scene of the industry, especially with the recent introduction of the new Malaysian Code on Corporate Governance.

The Code which was recently introduced as part of the Ministry of Finance's Finance Committee Report on Corporate Governance, among others, outlines principles and best practices for good corporate governance by listed companies.

Key speakers and topics that will be featured at the seminar include:

  • "Redefining the Role of Directors in the Next Millennium" by Prof. Abdul Manap Said, Immediate Past-President, MAICSA;
  • "Function of Directors - A Regulator's Perspective" by Siow Kim Lun, Director, Securities Commission; and
  • "Fiduciary Duties & New Rules of Directors" by F.S. Cheah, Technical Director, MAICSA

Background information:
The Securities Commission (SC), a statutory body reporting to the Minister of Finance, was established under the Securities Commission Act 1993. It is the sole regulatory agency for the regulation and development of capital markets. The SC has direct responsibility for supervising and monitoring the activities of market institutions, including the exchanges and clearing houses, and regulating all persons licensed under the Securities Industry Act 1983 and Futures Industry Act 1993.

The Securities Industry Development Centre (SIDC) is the education arm of the SC. It is responsible for facilitating education and research in the development of the capital market in Malaysia through training and dissemination of findings of non-proprietary research. It is also responsible for the development of the SC's resource centre which when fully established will be the premier capital market resource centre for the region.
