Proposal Type and Board : Initial public offering (“IPO”) on the MAIN Market

Principal Activity :

BCG is an investment holding company, while its subsidiaries are principally involved in the following:

  1. retail sales of pharmaceutical, healthcare, beauty, general merchandise and other related products;
  2. manufacturing, importing, marketing, distributing and wholesaling of healthcare, pharmaceutical and nutraceutical products; and
  3. provision of physiotherapy, tele-consultation and other healthcare-related services.
Shares to be issued/offered :

IPO of up to 1,882,368,000 ordinary shares in BCG (“Shares”) (“IPO Shares”) in conjunction with the listing of and quotation for the entire enlarged issued shares on the MAIN Market of Bursa Malaysia Securities Berhad comprising an offer for sale of up to 1,291,821,000 existing Shares and a public issue of 590,547,000 new Shares (“Issue Shares”) involving:

  1. Institutional offering of up to 1,614,730,000 IPO Shares to Malaysian and foreign institutional and selected investors including Bumiputera investors approved by the Ministry of Investment, Trade and Industry of Malaysia at the institutional price to be determined by way of bookbuilding (“Institutional Price”); and
  2. Retail offering of 267,638,000 Issue Shares made available for application by the eligible directors and employees of BCG and its subsidiaries (“Group”), persons who have contributed to the success of the Group and the Malaysian public at the retail price per Issue Share (“Retail Price”), payable in full upon application and subject to refund of the difference between the Retail Price and the Final Retail Price (as defined in this prospectus) in the event that the Final Retail Price is less than the Retail Price,

subject to the clawback and reallocation provisions as well as the over-allotment option as set out in this prospectus. The Final Retail Price will be equal to the lower of:

  1. the Retail Price; or
  2. the Institutional Price.
